Easy Clothes Ambassador Program — Terms & Conditions

By applying to and participating in the Easy Clothes Ambassador Program (the "Program"), you ("Ambassador," "you") agree to these Terms & Conditions. Easy Clothes ("we," "us," "our") may update these Terms at any time; continued participation in the Program after changes are posted means you accept the updated Terms.

1. Overview

The Program is designed to build brand awareness for Easy Clothes through authentic content created by approved creators and customers. Ambassadors are not employees, contractors, or agents of Easy Clothes, and participation does not create any such relationship.

The Program has two levels:

Tier 1 — Ambassador: Receives gifted product monthly in exchange for content. Not a paid partnership.

Tier 2 — Commission-Eligible Partner: An additional status some Ambassadors may unlock based on consistent performance, allowing them to earn commission on qualified sales. Not all Ambassadors will reach or remain in Tier 2.

2. Eligibility & Application

Applicants must submit a complete application through the official Easy Clothes application form. Applications submitted through any other channel will not be considered.

You must be at least 18 years old, or the age of majority in your jurisdiction, to apply.

Applications are reviewed for brand fit, content quality, audience alignment, and authenticity. Submitting an application does not guarantee approval.

Easy Clothes may decline any application, or remove any Ambassador at any time, at its sole discretion.

Approval is for the individual applicant only and is non-transferable.

3. Tier 1: Ambassador Terms

Approved Ambassadors receive gifted product each month, up to a set value, to select pieces for content creation.

Gifted product is provided at no cost in exchange for content and is not compensation, wages, or payment for services — it does not create an employment or contractor relationship.

Ambassadors must post content featuring the gifted product and tag @easyclothesusa within 14-21 days of receiving their order.

If an Ambassador does not post within the required window in a given month, they may not be invited to continue in the following month's cycle. Continued participation each month is at Easy Clothes' discretion and is not guaranteed.

Gift codes issued for monthly product selection are personal to the Ambassador, may not be shared, transferred, or resold, and will not be honored if used by anyone other than the approved Ambassador.

4. Content Requirements

Ambassadors agree that content created under the Program will:

Feature the gifted product in a way that reasonably represents it (accurate fit, color, and use).

Reflect genuine, honest opinions — no fabricated claims, fake engagement, or misleading statements about the product.

Be respectful in tone and consistent with the Easy Clothes brand voice.

Not include content that is unlawful, defamatory, discriminatory, sexually explicit, or otherwise inconsistent with Easy Clothes' brand values.

Easy Clothes reserves the right to request that specific content be edited or removed if it does not meet these standards, and to decline to feature or repost content that does not.

5. Disclosure Requirements

Because Ambassadors receive free product in exchange for content, this is a material connection under U.S. Federal Trade Commission (FTC) guidelines. Ambassadors must:

Clearly and conspicuously disclose the relationship on every post featuring gifted product (for example, using #ad, #gifted, or #easyclothesambassador) in a way that is easy for viewers to notice — not buried in a block of hashtags.

Comply with the disclosure requirements of any platform they post on, in addition to FTC guidance.

6. Tier 2: Commission-Eligible Partner

Ambassadors may become eligible for Tier 2 based on factors including, but not limited to: consistent posting, content quality and engagement, and adherence to Program terms over time. Reaching Tier 2 is not automatic and is not guaranteed to any Ambassador.

Tier 2 Partners may receive a personal referral link and/or discount code for use in their content, allowing tracked commission on qualifying sales generated through that link or code.

Commission is calculated on Net Sales only — this excludes taxes, shipping, refunds, returns, cancellations, chargebacks, and any amounts paid using store credit or gift cards where not eligible.

Commission payments are handled entirely through Shopify Collabs. A qualifying order's commission is held as Pending for the holding period set in Easy Clothes' Shopify Collabs payment terms (which may range from 1 to 90 days, per Shopify's system) before it is confirmed. If an order is refunded, returned, or cancelled during that holding period, the associated commission is automatically cancelled and will not be paid.

Once confirmed, commission is paid out automatically through Shopify Collabs' payout system, on Shopify's standard payout schedule and subject to Shopify's minimum payout threshold, unless another method is approved in writing by Easy Clothes.

Commission rate: 15%+ of Net Sales, potential flat rate based on performance.

Personal use of codes/links: Referral codes and links are personal to the Partner and may not be posted to public coupon-aggregation sites, deal forums, or shared in a way intended for redemption by the general public rather than the Partner's own audience. Doing so may result in suspension of commission eligibility and forfeiture of related pending commission.

Easy Clothes may review, adjust, delay, or reject commission on any order that appears to violate these Terms, involves fraudulent activity, or does not otherwise qualify as a legitimate sale.

Tier 2 status may be revoked at any time if performance, conduct, or compliance no longer meets Program standards. Ambassadors returned to Tier 1 keep their gifting eligibility subject to Section 3.

7. Content License

By creating content under the Program, you grant Easy Clothes a non-exclusive, royalty-free, worldwide license to repost, share, and feature that content on Easy Clothes' own website, social media accounts, email marketing, and paid advertising (including running the content as an ad from your account where supported by the platform, sometimes called "whitelisting"), with credit to you where practical. This license survives your participation in the Program ending, unless otherwise agreed in writing.

8. No Guarantee

Participation in the Program does not guarantee: continued invitations in future months, promotion to Tier 2, any specific amount of commission, income, followers, or sales. Easy Clothes makes no promises regarding the performance of any Ambassador's content.

9. Term, Suspension, and Termination

Either Easy Clothes or the Ambassador may end participation in the Program at any time, for any reason.

Easy Clothes may immediately suspend or terminate an Ambassador's participation for violation of these Terms, including but not limited to: failure to disclose the partnership, misuse of gift or referral codes, fraudulent activity, or content that harms the Easy Clothes brand.

Upon termination, any pending commission tied to non-qualifying or disputed activity may be forfeited. Confirmed, qualifying commission already earned will still be paid out according to Section 6.

10. Independent Relationship

Ambassadors are independent participants, not employees, partners, joint venturers, or agents of Easy Clothes. Ambassadors are solely responsible for any tax obligations arising from gifted product or commission received, and Easy Clothes may issue applicable tax forms (e.g., Form 1099) where required by law.

11. General

Governing law: These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

Changes to the Program: Easy Clothes may modify, pause, or end the Program at any time.

Entire agreement: These Terms, along with the Program application and any written communication of approval, represent the entire agreement between the Ambassador and Easy Clothes regarding the Program.
